1.1 “Company,” “We,” “Us,” or “Our” refers to Kula Media (www.kulamedia.co.za). 1.2 “Client” refers to any person or business that engages Kula Media for services. 1.3 “Services” refers to digital marketing, web development, content creation, social media management, e-commerce solutions, consulting, and any other services offered by Kula Media. 1.4 “Agreement” refers to these Terms and Conditions, along with any other written agreements between Kula Media and the Client.


2. SERVICES

2.1 Kula Media provides digital marketing and related services as per the scope agreed upon with the Client. 2.2 Any additional services requested by the Client outside the original scope will be subject to additional charges. 2.3 We reserve the right to refuse service if the Client’s request violates ethical standards, laws, or our business policies.


3. PAYMENT TERMS

3.1 All fees are payable as per the invoice terms. 3.2 A non-refundable deposit (typically 50%) may be required before work commences. 3.3 Late payments beyond 7 days from the due date will incur a late fee of [Insert Percentage] per day. 3.4 Kula Media reserves the right to suspend services if payment is not received within the agreed period. 3.5 No work will be delivered until full payment has been made unless otherwise agreed.


4. CLIENT RESPONSIBILITIES

4.1 The Client must provide all necessary materials, approvals, and access required for Kula Media to complete the work. 4.2 Delays caused by the Client in providing required materials may impact project timelines and may incur additional charges. 4.3 The Client is responsible for reviewing all work and providing feedback within the agreed timeframe.


5. INTELLECTUAL PROPERTY

5.1 Kula Media retains ownership of all original materials, methodologies, and intellectual property used to create deliverables until full payment is received. 5.2 Upon full payment, the Client receives a non-exclusive license to use the final deliverables for their intended purpose. 5.3 The Client may not resell, redistribute, or claim ownership of any work without written permission from Kula Media.


6. CONFIDENTIALITY

6.1 Both parties agree to keep confidential all proprietary information shared during the course of the project. 6.2 Kula Media may use general case studies of completed projects for marketing purposes unless otherwise agreed upon in writing.


7. CANCELLATION & TERMINATION

7.1 The Client may cancel services with a written notice of at least 7 days. Any work completed up to that point will be invoiced. 7.2 Kula Media reserves the right to terminate an agreement if the Client breaches any terms, engages in unethical activities, or fails to make payments. 7.3 No refunds will be issued for work already completed or time spent on a project.


8. LIABILITY & WARRANTIES

8.1 Kula Media makes no guarantees regarding specific outcomes, such as search engine rankings, social media engagement, or sales conversions. 8.2 Kula Media is not liable for any damages, lost profits, or legal disputes resulting from the Client’s use of the services provided. 8.3 The Client agrees to indemnify Kula Media from any claims related to the Client’s use of deliverables, including copyright disputes or business losses.


9. FORCE MAJEURE

9.1 Kula Media shall not be held liable for any failure or delay in performance due to circumstances beyond its control, including but not limited to natural disasters, power outages, internet failures, or governmental restrictions.


10. GOVERNING LAW

10.1 These Terms and Conditions shall be governed by and interpreted in accordance with the laws of South Africa. 10.2 Any disputes shall be resolved through arbitration in South Africa before pursuing legal action.


11. CHANGES TO TERMS

11.1 Kula Media reserves the right to update or modify these Terms and Conditions at any time. 11.2 Continued use of our services after changes are made constitutes acceptance of the new terms.
